Terms of Service

1. Who we are

Suroda Inc. is a Delaware corporation ("Suroda," "we," "us"). These terms govern your use of the Suroda mobile application, suroda.com, and any services or memberships we offer through it.

2. Acceptance

By using this site or the Suroda app, you agree to these terms. If you do not agree, do not use the site or app.

3. What we provide

Suroda develops forensic acoustic and optical detection technology. The site and app provide tools for forensic analysis, and information about our work. Content on this site is provided for general information and does not constitute professional, legal, or forensic advice.

4. Memberships and payments

Web memberships, monitoring services, donations, and non-iOS purchases may be processed by Stripe or another payment provider shown at checkout. iOS app subscriptions or digital app features offered inside the Suroda iOS app are processed through Apple In-App Purchase. Billing and cancellation are governed by our Refund & Cancellation Policy, which is part of these terms.

5. Acceptable use & Lawful Recording

You may not misuse the service, attempt to gain unauthorized access to it, scrape it at disruptive volume, or use it for unlawful purposes.

Recording Consent & Warranty: You acknowledge that secret recording of wire or oral communications is a criminal offense in many jurisdictions (such as Massachusetts under M.G.L. c. 272 §99). You explicitly warrant that you have obtained all necessary consents, notices, and legal authority required by applicable law for any audio or video recordings you upload or capture using Suroda. You agree to indemnify and hold Suroda harmless from any claims, liabilities, damages, or expenses arising from your failure to obtain lawful consent for uploaded media. See Lawful Recording.

6. Intellectual property

The Suroda™ and SonicPrint™ marks, site content, and underlying technology are the property of Suroda Inc. or its licensors. Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Suroda app on Apple-branded products you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. No other license is granted by your use of the site or app.

7. Your Recordings; Retention License

As between you and Suroda, you own the recordings you capture with or submit to the Service ("Source Recordings").

You grant Suroda a limited license to receive, store, and process Source Recordings solely to provide the Service, including detection, analysis, and evidence workflows. Source Recordings not tied to a detected event are automatically deleted as described in our Privacy Policy.

When the Service detects an event and the event is confirmed, you grant Suroda a perpetual, irrevocable, worldwide, royalty-free license to retain an excerpt of the Source Recording underlying that event (limited to the moments immediately surrounding the event) and to use it for detection validation, model and product improvement, and research. If you delete your account, Suroda will, before any further use, permanently remove account, tenant, device, and location metadata from that copy and disassociate it from any account identifier. This license survives termination or deletion of your account.

Except as stated in this section and our Privacy Policy, Suroda claims no rights in your content.

8. Disclaimers

The site and app are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. See our Disclaimers for medical, legal, emergency, and forensic-output limits.

9. Limitation of liability

To the maximum extent permitted by law, Suroda's total liability arising out of or relating to the service or any membership is limited to the amounts you paid us in the twelve (12) months before the claim arose. We are not liable for indirect, incidental, consequential, or punitive damages.

10. App Store Minimum EULA Terms

If you download the Suroda app from the Apple App Store, the following additional terms apply:

  • Acknowledgment: You and Suroda acknowledge that these Terms are concluded between you and Suroda only, and not with Apple, and Suroda, not Apple, is solely responsible for the Suroda app and the content thereof.
  • Scope of License: The license granted to you for the Suroda app is limited to a non-transferable license to use the app on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that such app may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.
  • Maintenance and Support: Suroda is solely responsible for providing any maintenance and support services with respect to the app. You and Suroda acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the app.
  • Warranty: Suroda is solely responsible for any product warranties, whether express or implied by law. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app.
  • Product Claims: You and Suroda acknowledge that Suroda, not Apple, is responsible for addressing any claims of the end-user or any third party relating to the Suroda app or your possession and/or use of that app, including, but not limited to: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
  • Intellectual Property Rights: You and Suroda acknowledge that, in the event of any third-party claim that the app or your possession and use of the app infringes that third party’s intellectual property rights, Suroda, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.
  • Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Third-Party Terms of Agreement: You must comply with applicable third-party terms of agreement when using the app.
  • Third-Party Beneficiary: You and Suroda acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

11. Disputes; governing law

These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Before filing any claim, contact us at hello@suroda.com — most issues can be resolved directly. Any dispute not resolved informally shall be brought exclusively in the state or federal courts located in Delaware.

12. Changes

We may update these terms; the "Last updated" date reflects the current version. Continued use after changes constitutes acceptance.
